Pet Genie End-User License Agreement (EULA)

Introduction
This End-User License Agreement (EULA) is a legal agreement between you (the "User") and [Visionation, LLC] ("the Company") governing your use of the Pet Genie mobile application ("the App"). By downloading, installing, or using the App, you agree to be bound by the terms and conditions of this EULA. If you do not agree with these terms, do not download, install, or use the App.
2. License Grant
Subject to your compliance with the terms and conditions of this EULA, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the App on your mobile device for your personal, non-commercial use.
3. Restrictions on Use
You agree not to: a. Modify, alter, or create derivative works of the App. b. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App. c. Copy, reproduce, distribute, sublicense, or otherwise transfer the App to any third party. d. Remove or alter any proprietary notices, trademarks, or copyrights contained within the App.
4. Intellectual Property Rights
All intellectual property rights in the App, including but not limited to copyrights, trademarks, and patents, belong to the Company or its licensors. The User only has a license to use the App and does not obtain any ownership rights by virtue of this EULA.
5. User Content
By submitting, uploading, or posting content through the App, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform your content in connection with the App and the Company's business. You represent and warrant that you have all necessary rights and permissions to grant this license.
6. Privacy
Your use of the App is subject to the Company's Privacy Policy, which is incorporated into this EULA by reference. By using the App, you acknowledge and agree to the collection, use, and sharing of your information as outlined in the Privacy Policy.
7. Termination
The Company may terminate this EULA and your license to use the App at any time, with or without cause, by providing notice to you or by preventing your access to the App. You may terminate this EULA by uninstalling the App and ceasing all use. Upon termination, all rights granted to you under this EULA will cease.
8. Disclaimer of Warranties
The App is provided "as is," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the App will meet your requirements, be uninterrupted or error-free, or that defects will be corrected.
9. Limitation of Liability
To the extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the App, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, expenses,
or fees (including reasonable attorneys' fees) arising out of or relating to your breach of this EULA or your use of the App, including but not limited to any User Content you submit or any violation of any applicable laws, regulations, or third-party rights.
11. Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of [Your Jurisdiction] without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in [Your Jurisdiction] to resolve any disputes arising out of or in connection with this EULA.
12. Severability
If any provision of this EULA is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be deemed replaced by a valid and enforceable provision that most closely reflects the original intent of the parties.
13. Changes to this EULA
The Company may update or modify this EULA from time to time at its sole discretion. Your continued use of the App following any such changes constitutes your acceptance of the revised EULA.
14 Entire Agreement
This EULA, together with any other agreements or policies incorporated by reference, constitutes the entire agreement between you and the Company concerning the App and supersedes any prior or contemporaneous understandings or agreements, whether oral or written, regarding the subject matter hereof.
